Terms of Membership Agreement:Global Metabolic Health Alliance (GMHA)

1. Membership Agreement

By submitting an application for membership or by participating in the activities of the Global Metabolic Health Alliance (“GMHA”), the member (“Member”) agrees to be bound by these Terms and Conditions. GMHA is a professional collaborative network dedicated to the advancement of metabolic health through shared scholarly knowledge and strategic initiatives.

The standard membership term is twelve (12) months from the date of official approval, subject to renewal or termination as provided herein.

2. Eligibility and Admission

  • Admission is at the sole discretion of GMHA; submission of an application does not constitute a binding agreement or guarantee of membership.
  • GMHA reserves the absolute right to approve, decline, or revoke applications without providing specific cause.
  • Applicants represent and warrant that all information provided during the application process is truthful, accurate, and complete.

3. Legal Relationship

  • Membership is personal to the member and is strictly non-transferable and non-assignable.
  • Membership does not imply professional certification, licensure, or regulatory endorsement of the member’s credentials or clinical practices by GMHA.
  • Members are authorized to use the title “Member of GMHA” for identification purposes but may not act as agents or legal representatives of GMHA without express written consent.

4. Financial Terms and Renewals

  • Membership may be offered on a complimentary basis during promotional or pilot phases.
  • GMHA reserves the right to implement or adjust membership dues at any time upon reasonable notice to the membership.
  • Renewal is subject to the then-current terms and fee structures established by GMHA management.

5. Professional Conduct and Termination

Members shall at all times:

  • Conduct themselves with the highest standards of professional and ethical integrity.
  • Adhere to evidence-based practices and avoid the dissemination of misleading health information.
  • Refrain from any unauthorized commercial use of the GMHA network or intellectual property.

GMHA reserves the absolute right to suspend or terminate membership immediately and without prior notice in the event of any material breach of this Code of Conduct, or for any action by the Member deemed, in GMHA’s sole discretion, to be detrimental to the reputation or mission of the Alliance.

6. Proprietary Rights and IP

All proprietary materials, logos, and digital assets provided by GMHA remain the exclusive intellectual property of the Alliance. Unauthorized reproduction, distribution, or derivative use is strictly prohibited.

7. Disclaimer and Liability

GMHA provides all resources, data, and materials on an “as-is” and “as-available” basis. To the maximum extent permitted by applicable law, GMHA and its officers shall not be liable for:

  • Any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from or in connection with membership participation.
  • Outcomes or liabilities resulting from professional, clinical, or business decisions made by Members in reliance upon GMHA content or networking interactions.

8. Governing Law and Jurisdiction

This Agreement, along with any disputes or claims arising from its subject matter, shall be governed by and interpreted in accordance with the laws of India.

Any controversy or claim relating to the interpretation, validity, performance, or termination of this Agreement shall be finally resolved through arbitration pursuant to the Arbitration and Conciliation Act, 1996. The seat and venue for such proceedings shall be Greater Noida, Gautam Buddh Nagar (Uttar Pradesh), India. Arbitration shall be presided over by a sole arbitrator, appointed by mutual consent of the parties, and conducted in the English language.

Subject to the aforementioned arbitration provisions, the courts of Greater Noida, Gautam Buddh Nagar (Uttar Pradesh), India, shall maintain exclusive jurisdiction regarding interim relief and the enforcement of arbitral awards.
